This Terms of Purchase Agreement (the “Agreement”) is entered into by and between you (“Purchaser,” “Client,” or “Student”) and Nomadic Girl Code LLC (“Company,” “NGC,” “we,” or “us”), a New York limited liability company, for your purchase of and participation in any Nomadic Girl Code program, course, or digital product, including but not limited to the Nomadic Girl Code Course and The Soft Life Bootcamp (collectively, the “Program” or “Products”).

By purchasing any Program through our sales page, checking the box to accept these Terms at checkout, or otherwise enrolling, you agree to the following:

•        You are entering into a legally binding agreement with Nomadic Girl Code LLC.

•        You have read and agreed to the terms outlined below, including our payment, refund, and access

policies.

•        You acknowledge that this is a digital educational product and that results are not guaranteed.

•        You affirm that you are at least 18 years of age and legally competent to enter into this Agreement.

All materials will be delivered via our current online learning platform. Login credentials will be provided upon successful registration and payment. While CC360 is our current platform, we reserve the right to switch platforms if needed to better serve our members, with reasonable notice provided.

Program Goals

The Nomadic Girl Code program is designed to equip aspiring expats and freedom-focused women and persons with the practical tools, mindset shifts, and strategic roadmap to move abroad, find paid opportunities, and build a soft life overseas — without relying on expensive travel programs or external validation.

SECTION 1: INTELLECTUAL PROPERTY & COPYRIGHT PROTECTION

1.1 Ownership of All Content

All content provided through any Nomadic Girl Code Program — whether verbal, written, visual, digital, audio, downloadable, or otherwise — is the exclusive intellectual property of Nomadic Girl Code LLC and/or Tamara Williams, and is protected under U.S. copyright, trademark, trade secret, and intellectual property laws, including but not limited to the Copyright Act of 1976 (17 U.S.C. § 101 et seq.) and the Defend Trade Secrets Act (18 U.S.C. § 1836 et seq.).

This includes, but is not limited to:

•        The M.O.V.E.™ Framework (Mindset, Opt-In Country Selection, Vision-Based Budgeting, Earning Abroad)

and all derivatives, adaptations, or applications thereof

•        All video training modules and their transcripts

•        All workbooks, worksheets, and fillable templates

•        Downloadable resources, guides, checklists, and PDFs

•        Written scripts, coaching methodologies, and lesson structures

•        Recorded Q&A calls and session replays

•        Design layouts, taglines, logos, slide decks, and brand messaging

•        The structure, sequence, naming conventions, and delivery of all course modules

•        All email content, social media content, and sales page copy created by or for NGC

•        Any future content, updates, or additions to any Program

1.2 Limited License Granted to Client

Upon purchase, Client receives a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Program content solely for their own personal, non-commercial learning and implementation. This license does not transfer any ownership rights to Client and may be revoked at any time for violation of this Agreement.

1.3 Prohibited Uses — What You May NOT Do

Client expressly agrees NOT to:

•        Share, copy, sell, reproduce, repurpose, alter, publish, distribute, or exploit any Program content in any

format, whether free or paid, without express written consent from Nomadic Girl Code LLC

•        Teach, present, or distribute Program materials or frameworks as their own content, curriculum, or

methodology — in any format, medium, or context, whether paid or unpaid

•        Create derivative works based on any Program content, including repackaging, rebranding, or

restructuring any portion of the M.O.V.E.™ Framework or course curriculum

•        Share login credentials, course access links, or downloadable materials with any individual who has not

independently purchased the Program

•        Screen record, photograph, or capture any video content, live sessions, or replay materials

•        Upload, input, or submit any NGC course content, workbooks, frameworks, scripts, or materials into any

artificial intelligence platform, tool, or engine — including but not limited to ChatGPT, Claude, Gemini,

Midjourney, or any similar generative AI system — for the purpose of replicating, summarizing, teaching,

reverse-engineering, or creating derivative works

•        Use AI tools to reconstruct, recreate, or substantially replicate the M.O.V.E.™ Framework, course structure,

or any NGC methodology for personal profit or public distribution

•        Claim authorship or ownership of any content derived, extracted, or generated from NGC Program

materials, regardless of the degree of alteration

Any violation of this section constitutes a material breach of this Agreement and grounds for immediate legal action.

1.4 M.O.V.E.™ Framework — Proprietary Methodology

The M.O.V.E.™ Framework — including its name, structure, four-part sequence, associated terminology, and all training content built around it — is the proprietary intellectual property of Tamara Williams and Nomadic Girl Code LLC. This framework is protected under U.S. copyright law, with trademark registration with the United States Patent and Trademark Office (USPTO) forthcoming.

Any person or entity found to be replicating, teaching, distributing, licensing, or commercially exploiting the M.O.V.E.™ Framework — in whole or in part, in any form, through any medium — without express written authorization from Nomadic Girl Code LLC will be subject to legal action including injunctive relief, damages, and recovery of legal fees.

1.5 AI and Technology-Specific Protections

In addition to the prohibitions listed in Section 1.3, Client specifically agrees:

•        Not to scrape, crawl, spider, or use any automated tool or bot to access, collect, or extract any content

from NGC’s website, course platform, or digital properties

•        Not to input NGC course materials into any AI model for the purpose of AI training, fine-tuning, or dataset

creation

•        Not to use AI-generated outputs that are substantially similar to NGC’s proprietary content and pass them

off as original work

•        That any AI-assisted work Client creates using NGC content as a source — regardless of how significantly it

has been altered — remains the intellectual property of Nomadic Girl Code LLC and may not be sold,

taught, or distributed

The emergence of generative AI does not diminish or void any intellectual property protections afforded to Nomadic Girl Code LLC under existing U.S. law. Nomadic Girl Code LLC expressly reserves all rights to pursue claims under copyright, trademark, trade secret, and unfair competition law against any party that uses AI tools to misappropriate its content.

1.6 DMCA Notice and Takedown Rights

Nomadic Girl Code LLC actively monitors for unauthorized use, distribution, or reproduction of its content online. In the event of infringement, Company reserves the right to:

•        Issue DMCA takedown notices to platforms hosting infringing content

•        Pursue civil litigation for copyright infringement under 17 U.S.C. § 501

•        Seek statutory damages of up to $150,000 per work infringed for willful infringement, in addition to

attorney’s fees and court costs

•        Report violations to relevant platform terms of service departments, resulting in account termination for

the infringing party

1.7 Liquidated Damages for IP Violations

Client acknowledges that unauthorized use, distribution, or reproduction of NGC’s intellectual property causes harm that is difficult to quantify precisely. Accordingly, Client agrees that in the event of a material IP violation — including but not limited to teaching NGC content as their own, distributing course materials without authorization, or using AI to replicate the M.O.V.E.™ Framework for commercial purposes — Client shall be liable for liquidated damages of no less than $10,000 per violation, in addition to any actual damages, lost profits, and attorney’s fees recoverable by law.

This amount represents a reasonable estimate of minimum harm and is not a penalty.

SECTION 2: NON-DISCLOSURE & CONFIDENTIALITY

Client agrees to maintain the confidentiality of all proprietary materials, strategies, methodologies, and tools shared inside the Program. This includes:

•        Templates, resources, and lesson recordings

•        Community discussions and fellow member information

•        Any behind-the-scenes business strategies shared by Tamara Williams in a coaching or Q&A context

Client may not disclose, share, or publish any confidential Program content outside of their own personal use without express written consent from Nomadic Girl Code LLC. This obligation survives the termination or expiration of this Agreement.

SECTION 3: PAYMENT TERMS & ACCESS

3.1 Payment Sequences

Client agrees to render payment for the applicable Program at one of the following price points as displayed at the time of purchase:

One-Time Payment Options

•        $497, or $397, or $297 — payable in full at checkout

Payment Plan Options (3 installments)

•        3 x $197 ($591 total), or 3 x $149 ($447 total), or 3 x $107 ($321 total)

Payment is rendered via credit card through Nomadic Girl Code’s designated checkout page or third-party payment processor. Client is responsible for the full payment amount regardless of use, satisfaction, or results.

3.2 Payment Plan Terms

If Client selects a payment plan, Client understands:

•        Their credit card will be automatically charged on or about the same date each month for the duration of

the plan

•        Should a payment fail or be declined, Client has a six (6) day grace period to resolve the issue

•        After the grace period, a $200 late fee will be assessed

•        Access to unreleased Program modules may be suspended until payment is current

•        Client’s decision to stop using the Program does not eliminate their obligation to complete all payments

3.3 Drip Access Schedule (Payment Plan Clients)

•        Month 1: Intro Module, Module 1, and Module 2

•        Month 2: Modules 3 and 4

•        Month 3: Modules 5, 6, and all Bonus Modules; full Travel Plug Resource Vault access upon final payment

completion

3.4 Chargebacks

Initiating a chargeback or payment dispute for a valid purchase is a material breach of this Agreement. In the event of a chargeback, Nomadic Girl Code LLC reserves the right to immediately revoke all Program access, report the breach to relevant credit agencies, and pursue collection of the full amount owed plus a $250 chargeback processing fee.

SECTION 4: REFUND POLICY

4.1 Five-Day Refund Window (Full-Pay Clients Only)

Due to the digital nature of this Program and immediate access to proprietary course materials, we do not offer refunds except under the following limited circumstances:

If you request a refund within 5 calendar days of purchase AND can demonstrate that:

•        You have not accessed more than 25% of the course content, AND

•        You have not downloaded the majority of the included bonuses or materials

…then your request will be reviewed and may be granted at the sole discretion of Nomadic Girl Code LLC.

To submit a refund request, email [email protected] within 5 calendar days of purchase, including your reason for dissatisfaction and evidence of minimal course usage.

4.2 No Refunds for Payment Plan Clients

Clients on the payment plan are not eligible for refunds and remain responsible for all remaining installment payments.

4.3 All Sales Final After Refund Window

All sales are final after the 5-day window has passed. By enrolling, Client agrees to these terms.

SECTION 5: TESTIMONIALS

Client understands that any commentary provided on public social media profiles, in emails, or otherwise shared about NGC may be published and used as testimonials by Nomadic Girl Code LLC. Client grants NGC a non-exclusive, irrevocable, perpetual license to use such content — including Client’s name and identifying information — across Nomadic Girl Code’s website, social media channels, advertisements, and promotional materials. No payment or additional services will be provided in exchange for testimonials.

SECTION 6: CLIENT CONDUCT & VOLUNTARY PARTICIPATION

Client understands participation in Nomadic Girl Code is 100% voluntary. Client agrees to:

•        Show up with integrity, honesty, and an open mind

•        Respect the instructor, fellow students, and community guidelines

•        Refrain from abusive, harmful, defamatory, or disruptive behavior in any group forums, calls, or

correspondence

•        Not soliciting fellow participants for outside products, services, or business opportunities

Any Client who engages in prohibited conduct may be removed from the Program immediately and without refund, at the sole discretion of Nomadic Girl Code LLC.

SECTION 7: DISCLAIMER & RESULTS

Nomadic Girl Code LLC and Tamara Williams do not provide licensed financial, legal, immigration, or therapeutic services. All guidance is based on personal experience, research, and practical strategy — not professional certification or legal counsel.

Nomadic Girl Code LLC does not guarantee that the Client will:

•        Move abroad

•        Find paid work overseas

•        Generate a specific income or savings amount

•        Experience any particular result or transformation

Client accepts full responsibility for their own decisions, actions, and outcomes. Testimonials and past results are illustrative only and are not indicative of typical outcomes.

SECTION 8: INDEMNIFICATION

Client agrees to hold Nomadic Girl Code LLC, its owner (Tamara Williams), agents, employees, and affiliates harmless from any indirect, incidental, special, or consequential damages arising from use of or inability to use the Program. Client shall indemnify NGC from all claims, liabilities, damages, losses, and expenses — including legal fees — arising from Client’s participation in the Program or violation of this Agreement. Under no circumstances shall NGC’s liability exceed the total amount paid by Client for the Program.

SECTION 9: DISPUTE RESOLUTION

Any dispute arising from this Agreement shall first be resolved through good-faith negotiation. If unsuccessful, the parties agree to informal mediation with a mutually agreed-upon mediator. If mediation fails, the parties agree to binding arbitration in accordance with American Arbitration Association rules, conducted in the State of New York. The arbitrator’s decision is final and binding.

Client waives the right to a jury trial and agrees that any claim must be filed within one (1) year of the cause of action accruing, or it is permanently barred.

SECTION 10: GOVERNING LAW

This Agreement is governed by the laws of the State of New York, without regard to conflict of law provisions. Any dispute resolution outside of arbitration shall be venued in New York.

SECTION 11: AMENDMENTS

Nomadic Girl Code LLC reserves the right to update this Agreement at any time. Changes are effective immediately upon posting. Continued access to the Program constitutes acceptance of the revised Agreement. Nomadic Girl Code will make reasonable efforts to notify Clients of material changes via email or within the Program portal.

SECTION 12: TERMS ACCEPTANCE

By checking the box at checkout, submitting payment, or otherwise enrolling in any Nomadic Girl Code Program, Client confirms they have read, understood, and agreed to this Agreement in its entirety, and are entering into it voluntarily and with full legal capacity.
